ETHICAL PRINCIPLES AND DUTIES OF OUR LAWYERS AND STAFF MEMBERS
Estudio Jurídico Araúz deemed appropriate and necessary to provide all its lawyers and staff members of a manual setting out the guidelines to govern their professional performance, and ethical rules that should be implemented in compliance with the procedures assigned to each, in addition to the provisions of the Panamanian Code of Ethics and Professional Responsibility of the Lawyers.
Any member of Estudio Jurídico Araúz has the inescapable duty of maintain a dignified and honorable conduct, and practice with professional judgement, to defend the best interests of the Firm and its clients.
- I. DEFINITIONS

Code de Conduct: Manual of principles and mandatory provisions, with recommendations that help our members to act appropiately.
Lawyers and staff members: Every person permanently or temporarily employed by Estudio Jurídico Araúz or its subsidiaries, wether by labor contract, profesional services or pro-bono internships, to serve as an attorney, consultant, administrative, clerk, messenger or support functions, paid or unpaid.
Ethics: A set of rules, principles and conduct models that meet criteria of fairness and rationality that are identified by a code of good governance and generally accepted moral principles.
Conflict of Interest (COI): Relationships, partnerships, and personal or corporate activities that may interfere or appear to interfere with the judgement, independence, objectivity and impartiality in the provisión of legal services.
- II. SCOPE

All lawyers and staff members of Estudio Jurídico Araúz and its subsidiaries, so paid or unpaid, are subject to complinace with all provisions of this Code of Conduct. Those who perform internships, in addition to the above, are subject to the cooperation agreements subscribed for such purposes by Estudio Jurídico Araúz.
- III. GUIDING PRINCIPLES OF THE DUTIES OF LAWERS AND STAFF MEMBERS

Integrity: Acting with honesty, externalizing a behavior that can not be reproached, and ensuring the proper use of the resources of the Firm. Avoiding any personal benefit or advantage.
Caution: Handle with full knowledge of the matters under their management, and with the same diligence that a good manager would use to their own property. His conduct must insipire confidence in clients.both in performing and in the truthfulness of information provided bye the Firm.
Equity: Every Lawyer and staff member of the firm should have permanent disposition and loyalty for the performance of their duties, thus giving each one his due, both in their relations with the Government and its officials, as with the client, his superiors and subordinates.
Restraint: At all times, must develop the roles and responsibilites with respect and sobriety that distinguish the court officers in the line of duty.
Suitability and Training: Must be understood as the technical skills and enhancing knowledge and skills to facilitate the achievement of the objectives of the firm.
Confidendiality: Reserves should be saved and not to reveal any information, facts and matters of the Firm and clients, with the limits established by the regulations for the prevention of crimes of money laundering and terrorist financing. Nor shall use confidential information for personal gain.
Equal Treatment: Lawyers and staff members of the Firm should not perform acts of discrimination in its relationship with clients or coworkers.
Appropriate use of Firm’s assets: The lawyers and staff members must protect the assets of the firm and rationallly use those assets that were allocated for the exercise of their functions, avoiding abuse, wastage or misuse. Nor can they use them for private use or purpose other than for which they were intended, excluding the activities of such a concept that for reasons of protocol or training must be carried out after hours or usual place of its duties.
Solidarity: In contingency situations, it should assist staff members in carrying out tasks which by their nature are not strictly related to a job description, if that is necessary to overcome difficulties and achieve the Firm’s goals.
Due diligence: Every Lawyer should comply with the requirements and procedures of the Know Your Customer Manual previously adopted by Law Office Arauz.
Efficient Management: All negotiations and transactions will be recorded and documented in the books and records of the Firm using generally accepted accounting principles.
- IV. CONFLICT OF INTEREST (COI)

With the existence or possibility of a conflict of interest, lawyers and staff members must formally disclose to the Firm’s Administration, expressing the details of the situation.
Estudio Jurídico Araúz may not represent a client who has a conflict of interest with another client of the Firm. - V. RELATIONS WITH FELLOW LAWYERS

Estudio Jurídico Arauz must not allow their professional services to be used to make possible the practice of law to persons not suitable for such an exercise, whether natural or legal persons.
The Firm accepts to compete respecting the cordiality that should enhance the legal profession, within a professional, ethical and tolerance of healthy competition.
Lawyers and staff members shall refrain from making efforts to move or replace a colleague on professional matter, or provide services or deliver them at lower prices to prevent the commission of the other lawyer. Also refrain from encouraging the avoidance or delay of payment of fees owed to a colleague.
